Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of SCC Link, the QuickBooks Online authorization and monitoring service operated by Shipping Company Core ("we", "us", or "our"). By creating an account, registering a tenant endpoint, or otherwise using SCC Link, you agree to these Terms. If you do not agree, do not use the service.

2. The Service

SCC Link operates as a pass-through authorization broker for approved tenant instances. It brokers Intuit OAuth authorization, delivers credentials to the owning tenant, ingests operational telemetry, and renders a monitoring dashboard. SCC Link does not itself perform, create, update, or retry QuickBooks Online ledger work; each tenant owns its own sync engine.

4. Acceptable Use

You may not use SCC Link to: (a) access data or systems you are not authorized to access; (b) interfere with, disrupt, or abuse the service or its infrastructure; (c) reverse engineer, decompile, or extract the service; (d) transmit malicious code; or (e) violate any applicable law or the terms of Intuit QuickBooks Online platform policies.

5. Data Handling and Third-Party Services

SCC Link does not persist QuickBooks access tokens, refresh tokens, or ledger records. Credentials are routed directly to your tenant instance. Tenant business data remains under each tenant instance's control. Use of SCC Link also involves Intuit QuickBooks Online and other third-party services, which are governed by their own terms and policies.

6. Intellectual Property

SCC Link, including its software, interface, and documentation, is the proprietary property of Shipping Company Core and is protected by intellectual property laws. Nothing in these Terms grants you any ownership interest. Your use is subject to the End-User License Agreement.

7. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, Shipping Company Core and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service, even if advised of the possibility of such damages. Our aggregate liability shall not exceed the amount paid by you, if any, for the service in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Shipping Company Core, its affiliates, and their respective officers, employees, and agents from any claims, damages, or expenses arising out of your use of the service or your breach of these Terms.

10. Suspension and Termination

We may suspend or terminate access to SCC Link at any time, with or without notice, for conduct that we reasonably believe violates these Terms, applicable law, or Intuit platform policies, or that otherwise harms the service or its users.

11. Changes

We may update these Terms from time to time. Continued use of the service after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of Jamaica, without regard to conflict-of-laws principles.
