End-User License Agreement
1. License Grant
Subject to your compliance with this End-User License Agreement ("EULA") and the Terms of Service, Shipping Company Core grants you a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and use SCC Link solely for the authorized internal business purposes of Shipping Company Core and its approved tenant instances.
2. License Restrictions
You may not, and may not permit any third party to: (a) copy, modify, adapt, or create derivative works of the service; (b) reverse engineer, decompile, or disassemble any part of the service; (c) distribute, sublicense, lease, rent, loan, or sell access to the service; (d) remove or obscure any proprietary notices; or (e) use the service for the benefit of any party other than Shipping Company Core without prior written authorization.
3. Ownership
All right, title, and interest in and to the service, including all intellectual property rights, remain exclusively with Shipping Company Core. The service is licensed, not sold. No ownership rights are transferred under this EULA.
4. Updates and Upgrades
We may update, upgrade, modify, or discontinue any part of the service at any time. This EULA applies to all updates and upgrades we make available.
5. Term and Termination
This EULA is effective until terminated. It terminates automatically if you fail to comply with any of its terms, at which point you must immediately cease all use of the service. Sections relating to ownership, disclaimers, and limitation of liability survive termination.
6. Support and Maintenance
We may, at our discretion, provide support and maintenance for the service. We are not obligated to provide any particular level of support unless separately agreed in writing.
7. Compliance with Laws
You are responsible for your use of the service in compliance with all applicable laws and regulations and with Intuit QuickBooks Online platform policies.
8. Disclaimer of Warranty
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Shipping Company Core SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE.
10. Governing Law
This EULA is governed by the laws of Jamaica, without regard to conflict-of-laws principles.
11. Entire Agreement
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Shipping Company Core regarding your use of the service.
